Ok, do this test with msconfig.
First go to Start, run, msconfig. Click the Start Up tab. Remove all check marks from everything there...make a note of all listed there though.
Then reboot and then shut down. If shut down proceeds without problems then problem lies with one of those. Go back to msconfig and put a check mark in the top one. Shut down, reboot, shut down again. If it still proceeds without a freeze then follow the same procedure until you find the one that is causing the problem.
If none of those make a difference then the next step with msconfig would be go into the Services Tab. Put a check mark in Hide All Microsoft Services. When those are hidden all you will see are 3rd party services, disable them all and then reboot, shutdown...etc. Follow the same steps until you find the culprit.
Yes, it is a long, drawn out procedure but likely the only way you will find out.
